1. Definitions
For the purposes of these Terms:
- “OmniHub” means OmniHub Integrated Solutions.
- “Client” means the legal entity entering into a contract with OmniHub.
- “Equipment” means any machinery, plant, vehicles, power systems, HVAC systems, audiovisual equipment, lighting, LED displays, staging, truss, rigging, control systems, accessories, or other assets supplied by OmniHub.
- “Services” means rental, technical manpower, operation, installation, commissioning, supervision, or support services provided by OmniHub.
- “Wet Hire” means hire with OmniHub-provided operators, technicians, or crew.
- “Dry Hire” means equipment-only hire without OmniHub personnel.
- “Hire Period” means the period stated in the quotation or contract.
- “Site” means the location where Equipment or Services are delivered or performed.
- “Commissioning” means verification that Equipment operates in accordance with agreed parameters.
- “Handover” means formal acceptance of Equipment or Services by the Client.
2. Applicability
2.1 These Terms apply to all quotations, proposals, contracts, and agreements issued by OmniHub unless expressly varied in writing.
2.2 No deviation from these Terms shall be binding unless confirmed in writing by an authorized OmniHub representative.
2.3 In the event of conflict, the signed contract or quotation shall prevail over these Terms. Any applicable Schedule shall prevail only for the scope it governs.
3. Formation of Contract
3.1 Quotations are valid for thirty (30) days unless stated otherwise.
3.2 A contract is formed only upon written acceptance by OmniHub and written confirmation by the Client.
3.3 Verbal agreements, site instructions, or informal communications shall not amend the contract unless confirmed in writing.
4. Pricing and VAT
4.1 All prices are quoted in Saudi Riyals (SAR) and exclude VAT unless stated otherwise.
4.2 VAT and other applicable taxes shall be charged in accordance with Saudi law.
4.3 Pricing may be revised if scope, duration, site conditions, access, or assumptions materially change.
4.4 Any change to VAT or tax rates mandated by the Government of the Kingdom of Saudi Arabia after contract execution shall be borne by the Client and applied to all outstanding and future invoices.
5. Rental Categories
5.1 Wet Hire
- Equipment is supplied with OmniHub personnel.
- OmniHub retains responsibility for operation and routine maintenance.
- No security deposit is required.
- The Client is responsible for providing a safe working environment.
- The Client is liable for damage arising from site hazards, unsafe conditions, or third-party interference.
5.2 Dry Hire
- Equipment is supplied without OmniHub operators.
- A refundable security deposit, typically ten percent (10%) of contract value, is required unless otherwise stated.
- Risk transfers to the Client upon delivery or collection.
- The Client is responsible for installation, operation, maintenance, and safe handling.
- Equipment must be returned in working condition, subject to inspection.
- Audiovisual, lighting, LED, control, and show-critical equipment shall not be supplied on a Dry Hire basis unless a refundable security deposit equal to full replacement value is provided or expressly approved in writing by OmniHub.
6. Delivery, Access, and Performance
6.1 Delivery arrangements are as agreed in the contract.
6.2 If the Client arranges transport, risk transfers upon collection.
6.3 The Client shall ensure clear site access, adequate offloading capability, and site readiness at the agreed time.
6.4 Truck Detention
Four (4) hours free loading or unloading per truck. Thereafter SAR 150 per hour, capped at SAR 800 per truck per day.
7. Payment Terms
7.1 Unless otherwise agreed:
- Wet Hire: 50% advance upon contract confirmation, 50% upon commissioning or handover.
- Dry Hire: OmniHub may require one hundred percent (100%) payment in advance.
7.2 Payments must be made via bank transfer.
7.3 Late payments incur interest at two percent (2%) per month.
8. Deposits and Inspection (Dry Hire)
8.1 Equipment will be inspected within five (5) business days of return.
8.2 Normal wear and tear shall not affect deposit refunds.
8.3 Deposits are refunded within ten (10) business days, subject to clearance.
8.4 Deductions shall be supported by a written breakdown.
8.5 Disputes must be raised within five (5) business days.
9. Client Responsibilities
9.1 The Client shall comply with applicable HSE regulations, ensure safe site conditions, use qualified personnel, and handle fuels, refrigerants, and hazardous materials in accordance with law.
9.2 OmniHub reserves the right to suspend operations where unsafe conditions exist, without liability for delay.
9.3 Non-Solicitation
The Client shall not, during the contract and for twelve (12) months thereafter, solicit, employ, or contract any OmniHub employee, technician, or contractor involved in the Services without prior written consent.
Breach shall result in a recruitment fee equal to thirty percent (30%) of the individual’s gross annual remuneration.
10. Consumables
Consumables shall be charged separately unless expressly included in the quotation.
For HVAC and cooling services, consumables may include refrigerants and related materials, charged unless otherwise stated as follows: R410a SAR 70/kg, R22 SAR 60/kg, R134a SAR 70/kg. Documentation is required where refrigerants are refilled by third parties.
For audiovisual, lighting, and event services, consumables may include haze or fog fluid, batteries, lamps, tapes, gels, fasteners, and similar expendable items. These shall be charged as used or as a fixed consumable levy stated in the quotation.
Consumables are non-refundable once used.
11. Damage, Loss, and Liability
11.1 The Client is responsible for loss, theft, or damage during Dry Hire.
11.2 Repair or replacement costs may be deducted from deposits or invoiced.
11.3 OmniHub’s total liability shall not exceed the contract value.
11.4 OmniHub shall not be liable for indirect, consequential, or economic losses.
11.5 Clients are advised to maintain appropriate insurance coverage.
12. Rental Extensions and Late Returns
12.1 Extensions require forty-eight (48) hours’ notice and are subject to availability.
12.2 Late returns continue at the agreed daily rate.
12.3 Unauthorized retention may result in recovery at the Client’s cost.
13. Termination and Cancellation
13.1 Client Cancellation
Cancellation charges, calculated on total contract value, shall apply as follows:
- Fourteen (14) days or more: No penalty
- Seven (7) to fourteen (14) days: 25%
- Three (3) to seven (7) days: 50%
- Less than seventy-two (72) hours or after mobilization: 100%
These charges reflect committed personnel, equipment preparation, logistics, and opportunity cost.
13.2 Early Termination After Commencement
The Client shall pay the greater of rental used or thirty percent (30%) of remaining contract value.
13.3 OmniHub Termination
OmniHub may terminate immediately for non-payment, unsafe conditions, misuse, or material breach.
14. Force Majeure
Neither party shall be liable for failure caused by events beyond reasonable control. The affected party shall notify promptly.
15. Governing Law and Dispute Resolution
15.1 Governed by the laws of the Kingdom of Saudi Arabia.
15.2 Disputes shall be resolved by arbitration under the Saudi Center for Commercial Arbitration (SCCA). Seat: Riyadh. Language: English. One arbitrator. Final and binding.
16. Entire Agreement
These Terms, together with the quotation, contract, and any applicable Schedule, constitute the entire agreement.
Schedule A
Event, AVL, and Live Production Conditions
This Schedule applies only to events, audiovisual, lighting, staging, and live production services.
Schedule A — View / Hide
A1. Nature of Live Events
Live events involve variables beyond OmniHub’s control, including weather, venues, artists, audience behavior, and third-party providers.
A2. Exclusions of Liability
OmniHub shall not be liable for ticket sales, sponsorship or revenue loss, reputational impact, artist performance or cancellation, or third-party content, signal feeds, or power.
A3. Site Readiness and Power Quality
The Client is responsible for venue approvals, rigging permissions, structural sign-off, and power readiness.
The Client shall be liable for any damage to OmniHub Equipment caused by unstable power supply, voltage fluctuations, harmonics, incorrect grounding, generator instability, or third-party changeover failures.
A4. Technical Manpower
Technical personnel operate under OmniHub supervision unless otherwise agreed. OmniHub is not responsible for creative, artistic, or show-calling decisions made by third parties.
A5. Weather Conditions
Outdoor events proceed at the Client’s risk unless unsafe conditions require suspension under HSE obligations.
A6. Recording and Content Rights
OmniHub bears no responsibility for recording, broadcast, or content rights. All such rights remain the Client’s responsibility.
A7. Intellectual Property
All technical programming, show files, configurations, cue stacks, and system documentation created by OmniHub remain its exclusive property.
The Client is granted a non-transferable license to use these materials only during the Hire Period and only with OmniHub-supplied equipment and personnel, unless otherwise agreed in writing.
A8. Priority
This Schedule supplements the Master Terms and applies only to event-related scope.
A9. Substitution of Equipment
OmniHub may substitute specified equipment with alternatives of equal or higher specification where required due to availability, failure, logistics, or operational necessity. Such substitution shall not constitute breach nor entitle the Client to withhold payment.
A10. Data Storage and Deletion
OmniHub is not a data archiving service. Any client content remaining on OmniHub equipment after the Hire Period may be permanently deleted. OmniHub accepts no liability for lost data not backed up by the Client.
